IanHills Wholesale Terms and Conditions

1. General These Terms and Conditions govern the sale of products and services provided by IanHills Wholesale and are an integral part of any agreement made between IanHills Wholesale and its customers. By ordering from IanHills Wholesale, you agree to be bound by these terms.
2. Product Sales Products supplied by IanHills Wholesale shall be in accordance with the specifications listed on the IanHills Wholesale website or your specific order agreement. IanHills Wholesale reserves the right to alter product specifications without prior notice, provided such changes do not materially affect the performance of the products.
3. Pricing and Payment Prices for our products are subject to change without notice. Payment is due upon invoice, and goods will not be dispatched until full payment is received unless otherwise agreed in writing. IanHills Wholesale reserves the right to refuse service or cancel orders in the event of a payment failure.
4. Delivery IanHills Wholesale will make every effort to deliver goods within the estimated timescales; however, delays are occasionally inevitable due to unforeseen factors. IanHills Wholesale shall be under no liability for any delay or failure to deliver the products within the estimated timescales.
5. Risk and Title The risk in the goods will pass to you upon delivery. Ownership of the goods will only pass to you when we receive full payment of all sums due in respect of the goods, including delivery charges.
6. Returns and Refunds Returns are accepted within a specified period from the date of delivery, provided the items are in their original condition and packaging. Refunds or exchanges for returned items will be issued upon receipt and inspection of the goods. Custom orders or specially sourced products may not be eligible for returns.
7. Warranty IanHills Wholesale provides a warranty that products are free from defects in material and workmanship for a period defined by the manufacturer’s warranty or by mutual agreement. This warranty is void if defects arise due to improper handling, installation, or maintenance by the customer.
8. Limitation of Liability IanHills Wholesale shall not be liable for any indirect or consequential losses or expenses suffered by the customer, including but not limited to loss of anticipated profits, goodwill, reputation, business receipts or contracts, or losses or expenses resulting from third party claims.
9. Intellectual Property All intellectual property rights in the products sold shall remain the property of IanHills Wholesale or its licensors. Any misuse of the intellectual property related to the products will result in legal action.
10. Force Majeure IanHills Wholesale shall not be liable for any delay or failure to perform its obligations if the delay or failure results from events or circumstances outside its reasonable control.
11. Dispute Resolution Any disputes related to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of the country where IanHills Wholesale is headquartered.
12. Amendments IanHills Wholesale reserves the right to amend these terms and conditions at any time. All amendments to these terms will be posted online.
